Terms of Use – Logicamed

These Terms of Use (“Terms”) govern your access to and use of the websites, online services, and any related platforms operated by Logicamed (collectively, the “Site”), as well as any business conducted with Logicamed that originates from the Site. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

1) About Logicamed and the Site

The Site provides information about Logicamed’s products and services for healthcare and laboratory environments, including, without limitation, new and certified pre-owned medical devices, laboratory and IVF solutions, wireless monitoring systems, and related installation, training, maintenance, and support services.

The Site is intended for professional and business users. Nothing on the Site constitutes medical advice, diagnosis, treatment, or a substitute for professional judgment.

2) Changes to the Terms and the Site

Logicamed may update these Terms or the Site at any time, with or without notice. The “Last updated” date shows the current version. Continued use of the Site after changes means you accept the updated Terms. Logicamed may modify, suspend, or discontinue any feature or content at any time.

3) Eligibility and Accounts

You must be able to form a binding contract to use the Site. If the Site offers account features, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify Logicamed immediately of any unauthorized use.

4) Intellectual Property

All content on the Site—text, graphics, logos, icons, images, video, software, and their arrangement—is owned by or licensed to Logicamed and is protected by applicable laws. You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any Site content except as expressly permitted in these Terms or in writing by Logicamed.

You may print or download a reasonable number of pages for your internal business use, provided you do not remove proprietary notices and you do not modify the materials.

5) User Submissions and Feedback

If you send ideas, feedback, proposals, or materials to Logicamed, you grant Logicamed a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and distribute them for any purpose. Do not submit confidential or patient-identifiable information through public forms on the Site.

6) Acceptable Use

You agree not to:

Violate any law or the rights of others.
Upload or transmit malicious code, attempts to gain unauthorized access, or actions that could interfere with the Site’s operation.
Scrape, crawl, or use automated means to access the Site without permission.
Misrepresent your identity or affiliation.
Use the Site to store or transmit protected health information, unless expressly governed by a separate written agreement with Logicamed.

7) Product and Service Information; Quotes and Orders

Information on the Site is provided for general guidance and marketing purposes and may include specifications provided by third-party manufacturers. Features, availability, and pricing are subject to change and confirmation.

Any request for quotation, proposal, purchase, sale, delivery, installation, training, AMC, calibration, validation, or other service is governed by Logicamed’s written commercial documentation (e.g., quotation, order acknowledgment, service agreement, DPA/BAA where applicable). In case of conflict between these Terms and signed commercial documentation, the latter controls for that transaction.

8) Certified Pre-Owned Equipment

Certified pre-owned devices offered by Logicamed are inspected, tested, and, when required, refurbished to meet defined performance criteria. Pre-owned equipment may exhibit cosmetic wear consistent with prior use. Unless otherwise stated in writing, all warranties for pre-owned equipment are limited and may be offered by Logicamed and/or the original manufacturer as specified in the relevant quotation or agreement.

9) Monitoring/IoT Platforms and Alerts (if used)

If you use Logicamed’s monitoring solutions (e.g., temperature/humidity sensors, gateways, cloud dashboards and alerts):

The service provides telemetry and notifications to assist operational oversight; it is not a life-safety or emergency system and must not be relied upon as the sole means of compliance or risk mitigation.
Availability of cloud services, networks, and devices may be affected by third-party factors outside Logicamed’s control. Alerts and data delivery are not guaranteed.
You are responsible for selecting appropriate thresholds, alert recipients, escalation procedures, and for maintaining connectivity and power.
Data retention and access are provided as configured for your account or as defined in your agreement.

10) Third-Party Links and Tools

The Site may contain links to third-party websites or integrate third-party tools. Logicamed does not control and is not responsible for third-party content, products, or services. Use of third-party resources is at your own risk and may be subject to separate terms and policies.

11) No Warranties

To the maximum extent permitted by law, the Site and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of accuracy, non-infringement, merchantability, fitness for a particular purpose, or availability. Logicamed does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

Any product or service warranties are only those expressly stated in the relevant written quotation, agreement, or manufacturer documentation.

12) Limitation of Liability

To the maximum extent permitted by law, Logicamed and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption, arising from or related to your use of or inability to use the Site, even if advised of the possibility of such damages.

To the extent liability cannot be excluded, Logicamed’s total aggregate liability arising out of or relating to the Site shall not exceed AED 1,000.

13) Indemnification

You agree to defend, indemnify, and hold harmless Logicamed and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Site, your content or submissions, or your violation of these Terms or applicable law.

14) Compliance, Export, and Anti-Corruption

You will comply with all applicable laws, including import/export controls, sanctions, and anti-bribery/anti-corruption laws. You will not use the Site to conduct or facilitate any illegal transaction.

15) Privacy

Your use of the Site is subject to Logicamed’s Privacy Policy. By using the Site, you acknowledge the collection and use of information as described there.

16) Termination and Suspension

Logicamed may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if Logicamed believes you have violated these Terms. Sections that by their nature should survive termination will survive (including, without limitation, Intellectual Property, No Warranties, Limitation of Liability, Indemnification, and Governing Law).

17) Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the United Arab Emirates. The courts of Dubai, UAE shall have exclusive jurisdiction, and you consent to their venue. Before filing a claim, the parties will attempt to resolve the dispute through good-faith negotiations for at least 30 days.

18) Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, are the entire agreement regarding your Site use.
Severability: If any provision is unenforceable, the remainder remains in effect.
No Waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign any rights or obligations under these Terms without Logicamed’s prior written consent; Logicamed may assign them in connection with a reorganization, merger, or sale.
Force Majeure: Logicamed is not liable for delays or failures caused by events beyond its reasonable control.
